GENERAL TERMS AND CONDITIONS – ZDRIVE CITYGO APP ALL-IN-ONE
Last updated: October 10, 2026
## 1. INTRODUCTORY PROVISIONS & IDENTIFICATION
## 1.1. The Operator and Platform
These General Terms and Conditions (hereinafter "GTC") govern the contractual relationships, rights, and operational obligations between the platform operator and its users within the framework of the ZDrive CityGo App All-in-One mobile and web application (hereinafter the "System").
The System is exclusively owned, managed, and operated by [Meziane Veselý] (https://rejstrik.penize.cz/ares/66877351-meziane-vesely) (doing business as a natural person registered under Czech trade regulations, hereinafter referred to as the "Operator" or the "Company"):
* Founder & Manager: Meziane Veselý
* Registered Office: Lipová 472/10, Nové Město, 120 00 Prague 2, Czech Republic [1]
* Identification Number (IČO): 66877351 [1]
* Tax Identification Number (DIČ): CZ6803222602 (Registered VAT Payee) [1]
* Official Website: [CityGo-Zdrive](https://www.city-go.cz) [1]
* Primary Contact Email: cityzdrive@gmail.com [1]
* Customer Support Helpline: +420 723 500 317 [1]
## 1.2. Role of the Company
The Company operates a multi-service digital intermediation platform. Unless explicitly stated otherwise for specific corporate accounts or corporate delivery contracts, the Operator is not a transport carrier, a restaurant, or a moving company. The System serves strictly to digitally connect independent, professional, or private Providers (Drivers, Couriers, Movers) with Customers.
## 1.3. Service Modules
The System aggregates four distinct core business modules within its single interface:
* Taxi / Passenger Transport: Professional urban and intercity on-demand ride-hailing services.
* Food Delivery: Intermediated ordering and rapid courier dispatch from partner restaurants.
* Car Pooling: Peer-to-peer long-distance ride sharing between private drivers and passengers.
* Moving Services: Professional or heavy-duty transport for furniture, bulk items, and domestic relocation.
## 2. TAXI & RIDE-HAILING SERVICES
## 2.1. Contractual Binding
When a Customer requests a ride, the platform generates dynamic quotes based on vehicle category, traffic, and arrival time. Confirming a booking establishes a direct, legally binding Transport Contract solely between the Customer and the assigned licensed Carrier.
## 2.2. Pricing Regulation
Fares follow two structural models:
1. Guaranteed Fixed Fare: A strict total price calculated upfront by the platform before booking confirmation.
2. Dynamic Metering: Calculated strictly by distance tracked and actual trip duration using local municipal base tariffs approved by public ordinances (e.g., City of Prague regulations).
## 3. FOOD DELIVERY SERVICES
## 3.1. Order Formation and Execution
The System facilitates the selection, order placement, and payment of meals from listed Partner Restaurants. The Operator acts purely as an intermediary agent between the Restaurant, the independent Delivery Courier, and the Customer.
## 3.2. Customer Obligations & Perishable Items
* Accuracy of Address: The Customer must provide precise delivery coordinates, door codes, and phone numbers.
* No-Show Policy: If the courier arrives at the delivery address and the Customer is unreachable via phone or app messaging within 10 minutes, the order will be cancelled. Due to the perishable nature of food, the Customer remains liable for 100% of the food and delivery cost in the event of a no-show.
## 4. CAR POOLING (RIDE SHARING)
## 4.1. Peer-to-Peer Nature
The Car Pooling module is strictly reserved for private individual users. It allows private drivers traveling a specific route to share empty seats with passengers traveling the same way in exchange for a cost-sharing contribution.
## 4.2. Non-Commercial Covenant
* No Profit Rule: Drivers are strictly prohibited from generating a commercial profit through the Car Pooling module. The cost contribution requested from passengers must only offset actual trip expenses (fuel, highway tolls).
* Regulatory Risk: The Operator reserves the right to immediately suspend any account utilizing Car Pooling to conduct unauthorized or unlicensed commercial taxi operations.
## 5. MOVING & FURNITURE TRANSPORT SERVICES
## 5.1. Scope of Cargo
The Moving module connects Customers with specialized providers operating utility vans or heavy vehicles suitable for furniture, boxes, and bulk items.
## 5.2. Declaration and Preparation Obligations
* Accurate Volume Declaration: The Customer is required to accurately list the scope, weight, and general dimension category of the items to be moved to ensure the correct vehicle size is dispatched.
* Fragile & High-Value Items: The Customer must explicitly notify the Moving Provider before loading of any high-value artwork, delicate electronics, or structural antiques.
* Packing Standards: Unless a specialized packing service is ordered directly through the app, items must be securely boxed, wrapped, and prepared for transport by the Customer prior to the provider's arrival.
## 6. FINANCIAL REQUISITES, FEES, AND CANCELLATIONS
## 6.1. Methods of Settlement
System transactions can be processed via linked credit/debit cards, integrated digital wallets (, ), physical cash collections, or authorized business account monthly invoicing.
## 6.2. Platform Cancellation Rules
Standardized cancellation fees are automatically applied to compensate providers for lost operational windows. A cancellation penalty is strictly enforced if:
* A user aborts a confirmed Taxi or Moving request after the designated fee-free grace window has closed.
* A user cancels a Food Delivery order after the restaurant has already commenced meal preparation.
## 7. LIMITATION OF LIABILITY AND INSURANCE COVERAGE## 7.1. Platform Disclaimer
As an independent software provider, the Operator remains clear of direct third-party liability regarding delays, transport cancellations, property damage, or physical incidents caused by independent third-party providers or private users during the operational phase of any service module.
## 7.2. Liability Insurance Thresholds
To ensure platform security, specific liability coverage applies depending on the activity module:
* Taxi & Moving Transport: Active professional partner vehicles maintain comprehensive corporate damage insurance policies up to standard regulatory limits in Czechia.
* Car Pooling: Incidents occurring during shared private trips are governed exclusively by the private driver’s mandatory third-party vehicle liability insurance (povinné ručení).
## 8. GOVERNING LAW AND JURISDICTION
These GTC are governed exclusively by the laws of the Czech Republic (specifically Act No. 89/2012 Coll., the Civil Code). Any disputes arising from the use of the System that cannot be resolved amicably will be submitted to the competent courts of Prague, Czech Republic.
TERMS AND CONDITIONS FOR DRIVERS AND SERVICE PROVIDERS
Last updated: October 10, 2026
## 1. INTRODUCTORY PROVISIONS & LEGAL STATUS
## 1.1. The Contractual Framework
These Terms and Conditions (hereinafter "Provider Terms") govern the contractual relationship, platform access, and operating rules between the platform operator, Meziane Veselý (IČO: 66877351, registered office at Lipová 472/10, Nové Město, 120 00 Prague 2, Czech Republic, hereinafter the "Company" or "Operator"), and any independent professional or private individual using the driver/provider interface to offer services (hereinafter the "Provider" or "Driver").
## 1.2. Independence of Providers
The Provider explicitly acknowledges and agrees that:
* They operate as an independent contractor / third-party freelancer or separate legal entity.
* Registration on the System does not establish an employment relationship, joint venture, or agency contract between the Company and the Provider.
* They are solely responsible for their own tax obligations, social security contributions, business licensing, and mandatory local declarations.
------------------------------
## 2. ADMISSION AND VALIDATION CRITERIA BY MODULE
To activate and maintain an active account in the System, the Provider must upload, maintain, and continuously update valid documentation tailored to their specific operational module:
## 2.1. Taxi Drivers (Professional Passenger Transport)

* Valid commercial passenger transport insurance policy.
## 2.2. Food Delivery Couriers
* Proof of identity (ID card, passport) and legal right to work in the operating jurisdiction.
* Valid trade license (Živnostenské oprávnění) if operating as an independent business courier.
* Possession of a clean, thermal food-grade delivery bag matching the System's hygiene guidelines.
## 2.3. Car Pooling Drivers (Private Ride Sharing)

------------------------------
## 3. PROVIDER CONDUCT & OPERATIONAL OBLIGATIONS## 3.1. Standard of Service
The Provider agrees to execute every intermediated order with due professional care, maintaining high cleanliness standards for the vehicle, obeying local traffic rules, and interacting courteously with Customers.
## 3.2. Technical and Device Requirements
The Driver must supply their own compatible smartphone with active mobile data connectivity. The Driver is fully responsible for maintaining their device to ensure GPS tracking coordinates operate continuously while executing an active booking.
## 3.3. App Algorithmic Assignment and Acceptance Rates
Drivers are free to accept or decline any ride or delivery offer routed to them by the System. However, systematically high rejection rates, prolonged delays, or frequent cancellations after customer acceptance may lead to temporary algorithmic deprioritization or account suspension.
------------------------------
## 4. FINANCIAL PROVISIONS, COMMISSIONS, AND FEES
## 4.1. Platform Intermediation Commission
## 4. FINANCIAL PROVISIONS, COMMISSIONS, AND FEES
## 4.1. The Universal 10 / 90 Commission Split
In exchange for accessing the digital marketplace, customer matching tools, automated routing algorithms, and secure payment processing services, the Company applies a strict, uniform fee structure across all available service modules without exception:
* The Provider Payout: The Provider is strictly entitled to receive 90% of the total gross fare calculated and paid by the Customer for any completed service within the System.
* The ZDrive CityGo Commission: The ZDrive CityGo platform automatically retains a 10% service commission from the total gross value of each transaction. This 10% rate applies universally to Taxi, Food Delivery, Car Pooling, and Moving services.
* Customer Tips: Any voluntary tips (bpropitné) digitally awarded to the Provider by the Customer belong 100% to the Provider and are entirely exempt from the platform's 10% commission.
## 4.2. Payout Schedules
Fares collected digitally via credit/debit cards, digital wallets, or corporate accounts are aggregated by the Operator. The calculated 90% net earnings are paid out directly to the Provider’s validated bank account according to a standardized weekly cycle, net of any applicable transactional taxes or regulatory fees.
## 4.3. Cash Collections & Wallet Balancing
For orders settled by the Customer using physical cash:
* The Provider collects and retains 100% of the gross cash amount directly from the Customer at the end of the trip, delivery, or service.
* The 10% platform commission owed to ZDrive CityGo is instantly deducted from the Provider's in-app digital wallet balance.
------------------------------
## 5. REVIEWS, RATINGS, AND QUALITY CONTROL
## 5.1. Customer Rating System
After every completed service, Customers are invited to rate the Provider on a scale from 1 to 5 stars.
## 5.2. Suspension Thresholds
The Company maintains strict quality guidelines to protect its customer base. The Operator reserves the right to temporarily lock or permanently terminate a Provider’s account without financial compensation if:
* The Driver's cumulative rating drops below the platform’s acceptable quality threshold (e.g., 4.5 stars).
* The Driver receives serious verified complaints regarding safety, aggressive driving, discrimination, or operating under the influence of restricted substances.
------------------------------
## 6. DATA PRIVACY & GEOLOCATION TRACKING
The Provider explicitly gives consent to the System to collect, record, and transmit real-time geolocation data whenever the Provider App is toggled to "Online" or "Active" mode. This data is critical to dynamically calculate arrival times, calculate route pricing, and ensure user safety. All personal data processing complies with the Czech Data Protection Act and EU GDPR regulations.
------------------------------
## 7. GOVERNING LAW AND RESOLUTION
These Provider Terms are governed exclusively by the laws of the Czech Republic. Any commercial disputes, collection actions, or contractual challenges arising between the Provider and the Operator will be submitted exclusively to the competent courts of Prague, Czech Republic.
Customers
## 6. FARES, PAYMENT MECHANISMS, AND UNIVERSAL SERVICE PRICING
## 6.1. Financial Transparency and the 100% Gross Fare Definition
All prices displayed to the Customer within the System for any requested service represent the total gross fare inclusive of all applicable taxes (VAT) and platform costs.
* The Service Cost: The Customer is billed for the complete execution of the service (Taxi ride, Food order and delivery, Car Pooling contribution, or Moving transit).
* Platform Operations: The Customer explicitly acknowledges that the platform's internal operational commission (10% retained from the Provider) is already structurally integrated into the total price displayed before confirmation. No hidden platform surcharges or administrative fees are added to the final checkout price, except for voluntary tips or applicable cancellation penalties.
* Customer Tips: The Customer may choose to award a voluntary tip (bpropitné) to the Provider via the application. Tips are transferred 100% to the Provider without any platform deductions.
## 6.2. Authorized Methods of Payment
The Customer agrees to settle the total gross amount of any confirmed order using the payment methods authorized within the System interface:
* Digital Credit/Debit Cards: Secure cashless transactions processed automatically upon completion of the service via the integrated payment gateway.
* Mobile Wallets: Instant checkout utilizing validated or Google Pay profiles linked to the Customer's device.
* Physical Cash: Direct cash settlement paid in full to the Provider immediately upon arrival or delivery, strictly in local currency (CZK).
* Corporate Account Invoicing: For approved "ZDrive Business" profiles, settlements are aggregated and billed periodically via unified corporate invoices.
## 6.3. Pre-Calculated vs. Metered Settlements
Depending on the selected application module, pricing will be processed as follows:
* Fixed Upfront Pricing (Food Delivery, Moving, Car Pooling, Web Bookings): The price displayed at checkout is final and binding. It cannot be altered unless the Customer explicitly requests a change of destination or additional mid-trip services.
* Regulated Taxi Metering: In specific live-metered Taxi options, the final fare is calculated dynamically by the System based on active GPS distance and elapsed time, strictly bounded by the maximum official tariffs set by the local municipal authorities (e.g., City of Prague regulations).
## 7. CANCELLATION POLICIES AND NO-SHOW FEES
## 7.1. General Principles
To maintain platform efficiency and compensate independent Providers for their time, fuel, and operational readiness, the Company enforces a standardized cancellation policy. By confirming a request within the System, the Customer explicitly accepts the dynamic cancellation thresholds and financial penalties outlined below.
## 7.2. Taxi & Passenger Transport Cancellation Scale
* Grace Period: A Customer may cancel a confirmed Taxi request free of charge within two (2) minutes from the moment the Driver accepts the ride.
* Late Cancellation Penalty: If the Customer cancels the ride after the two-minute grace period has expired, or while the Driver is already actively en route to the pickup location, a standard fixed penalty of 100 CZK will be automatically charged to the Customer’s registered payment method.
* Passenger No-Show: The Driver is legally required to wait at the designated pickup location for a minimum of five (5) minutes. During this period, the Driver or the System must attempt to contact the Customer at least two (2) times via the app or telephone. If the Customer fails to appear or remains completely unreachable after these five minutes, the trip will be cancelled by the Driver, and a 150 CZK No-Show Fee will be automatically charged to the Customer.
## 7.3. Food Delivery No-Show and Cancellation Rules
* Restaurant Preparation Window: Due to the perishable nature of freshly prepared meals, a Customer can only cancel a Food Delivery order free of charge if the partner restaurant has not yet accepted or commenced the preparation of the food.
* Irrevocable Order Phase: Once the restaurant begins cooking, the order cannot be cancelled or refunded.
* Delivery No-Show Penalty: Upon arrival at the specified delivery coordinates, the courier will wait for a maximum of ten (10) minutes and attempt to contact the Customer. If the Customer is completely unreachable, does not open the door, or cannot be found, the order will be aborted. The Customer will be charged 100% of the total gross invoice (Food cost + Delivery fee). No refunds or redeliveries will be authorized.
## 7.4. Moving & Bulk Transport Relocation Policy
* Advanced Planning Notice: Moving services require significant logistic coordination. A Customer may cancel a confirmed Moving request free of charge up to two (2) hours before the scheduled pickup time.
* Late Moving Cancellation: If a Moving request is cancelled by the Customer less than two hours before the appointment, a fixed operational penalty of 500 CZK will be applied.
* Moving No-Show: If the moving vehicle arrives at the scene and the Customer is absent, uncontactable, or refuses to grant access to the cargo within fifteen (15) minutes, a 1,000 CZK Heavy Vehicle No-Show Fee will be automatically levied to cover vehicle dispatch costs.
## 7.5. Car Pooling (Ride Sharing) Cancellation Split
* Driver Protection: Passengers booking a seat in a Car Pooling trip can cancel free of charge up to twenty-four (24) hours before departure.
* Short-Notice Cancellation: If a passenger cancels between 24 hours and two (2) hours before departure, they will be refunded 50% of their cost contribution, and the remaining 50% will be charged as a penalty to compensate the private driver.
* Last-Minute & No-Show: Cancellations made less than two hours before departure, or a total failure to arrive at the agreed meeting point, will result in a 100% non-refundable charge of the passenger's contribution.
## 7.6. Collection of Fees
All cancellation and no-show penalties are automatically debited from the Customer's linked payment card or mobile wallet (/). For cash-based accounts or corporate profiles, outstanding penalties are appended to the Customer’s digital balance and must be cleared prior to booking any subsequent service on the platform.
## 8. PERSONAL DATA PROTECTION AND GDPR COMPLIANCE
## 8.1. Compliance Commitment and Data Controller Identity
The processing of personal data is carried out in strict compliance with the General Data Protection Regulation (EU 2016/679, hereinafter "GDPR") and the Czech Act on Personal Data Processing (Act No. 110/2019 Coll.).
* The Data Controller: Your personal data is collected, stored, and processed under the legal responsibility of Meziane Veselý, an individual entrepreneur registered under Czech trade regulations (IČO: 66877351), with its registered office located at Lipová 472/10, Nové Město, 120 00 Prague 2, Czech Republic.
* GDPR Contact Point: For any inquiries, requests, or matters regarding your personal privacy, you can contact us at our dedicated email address: cityzdrive@gmail.com.
## 8.2. Categories of Personal Data Collected
To ensure the correct technical and operational execution of the multi-module platform, the System collects and processes the following information:
* Identification and Contact Data: First name, last name, email address, mobile phone number, and preferred language settings.
* Real-Time Geolocation Data: Your precise geographic position via GPS whenever the mobile application is open. This collection is strictly indispensable for calculating upfront trip fares, estimating provider arrival times, and accurately pairing you with nearby service providers (Taxi, Food Delivery, Car Pooling, Moving).
* Payment Data: Credit/debit card information is fully encrypted and securely processed by our PCI-DSS certified payment gateway partner. The System never stores your full card numbers or sensitive banking codes on its own servers.
* Usage History and Interactions: Details of completed trips, food orders, ride-sharing configurations, moving logistics, ratings left for providers, and internal chat communications between you and the driver/courier through the app interface.
## 8.3. Purposes and Legal Bases for Data Processing
The processing of your personal information relies exclusively on the following legal foundations:
1. Performance of a Contract (Art. 6, para. 1, lit. b of the GDPR): Required to register and maintain your profile, link your requests to independent providers, process payments, and provide customer support services.
2. Legitimate Interests (Art. 6, para. 1, lit. f of the GDPR): Necessary to prevent transactional fraud (unpaid fares, fake accounts), safeguard the physical safety of both users and providers, and optimize platform dispatching algorithms.
3. Compliance with Legal Obligations (Art. 6, para. 1, lit. c of the GDPR): Required to satisfy statutory accounting, corporate billing, and fiscal record-keeping regulations under Czech national law.
4. Consent (Art. 6, para. 1, lit. a of the GDPR): Explicitly requested for sending marketing newsletters, seasonal discounts, or promotional platform announcements. You maintain the right to withdraw this consent at any time.
## 8.4. Data Sharing and Recipients
Your personal data is strictly protected and will never be sold or leased to third parties. It is shared solely with the following authorized entities:
* Service Providers (Drivers / Couriers / Movers): Only the minimal data required to execute your confirmed order is shared (your first name, your phone number if communication is necessary, your precise origin/destination addresses, and live pickup GPS coordinates).
* Technical Subcontractors: Third-party entities providing secure payment processing gateways, secure cloud data storage infrastructure, and corporate automated SMS/email communication dispatchers.
* Public Authorities: Only if explicitly commanded by law enforcement, particularly upon a formal judicial request issued by the Police of the Czech Republic (Policie ČR) or competent national tax authorities.
## 8.5. Data Retention Periods
Your personal data is retained for the entire duration of your active client profile within the application. Upon a formal account deletion request, your personal data will be completely deleted or fully anonymized within thirty (30) days, except for statutory invoicing archives and physical transaction records, which must legally be preserved for ten (10) years in accordance with Czech tax and accounting legislation.
## 8.6. Your Rights as a Data Subject
Under the GDPR framework, you possess the following explicit legal rights regarding your personal data:
